These Terms govern access to and use of Nexora Innovations products, services, and websites. By engaging with our platform you agree to the obligations and rights outlined below.

  • Your organisation remains responsible for how you configure and use our services.
  • We provide services “as is” and disclaim implied warranties to the extent permitted by law.

1. Access and accounts

Authorised users must keep credentials confidential and notify us immediately of unauthorised access. You are responsible for actions taken under your accounts.

2. Acceptable use

You agree not to misuse the services, interfere with system integrity, or attempt to gain unauthorised access. Usage must comply with applicable laws, including data protection and export regulations.

3. Intellectual property

Nexora retains all rights to the services, software, and documentation. Customer data remains under your ownership. Feedback may be used to improve our products without obligation.

4. Confidentiality

Both parties will protect confidential information using industry-standard safeguards and will only disclose as required to deliver services or comply with law.

5. Payment and taxes

Fees are due as specified in the order form. Late payments may incur interest. Taxes are the customer’s responsibility unless a valid exemption certificate is provided.

6. Service levels and support

Service commitments are defined in applicable service level agreements. We may update features while maintaining materially similar functionality.

7. Term and termination

Either party may terminate for material breach with 30 days’ written notice if the breach is not cured. Upon termination, customer data will be returned or deleted as instructed.

8. Disclaimers

Except as expressly stated, the services are provided without warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Limitation of liability

To the extent permitted by law, each party’s liability is capped at fees paid in the preceding 12 months. Neither party is liable for consequential or indirect damages.

10. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, excluding conflicts of law rules. Disputes will be resolved through binding arbitration in New York, NY unless prohibited by law.

11. Updates

We may update these Terms to reflect product changes or legal requirements. Continued use after updates becomes effective constitutes acceptance.
